You can pick up the definition from your state by visiting the website for the Bureau of Labor and Industry - or whatever you call that division. Google wage and hour laws for your state and it will come up.

Generally exempt employees must:

Earn a certain wage (in some states and federally)

Have broad discretion in how the job is performed.

Require special skills/training/experience/knowledge/education

Those are the basics. There are others depending on your state.
