Tranzact, a Willis Towers Watson company, is currently conducting a search for a corporate counsel/contracts attorney. This position will be in the Office of General Counsel for Willis Towers Watson, supporting the business of Tranzact. Tranzact is a leader in direct-to-consumer insurance products. Willis Towers Watson is a global leader in insurance and risk management, and is one of the largest insurance brokerages in the world. Tranzact is headquartered in Fort Lee, New Jersey, but the position could be based in another Willis Towers Watson office or be remote.
SummaryThis position offers an experienced contracts attorney the opportunity to work at a dynamic company during an exciting time of growth, change, and innovation. The position will be an integral part of a fast-paced team that engages with all parts of the business. The position will also be a part of a large, global legal department. This role will partner with the General Counsel of Tranzact and the Lead Counsel for the Willis Towers Watson global business segment of which Tranzact is a part. This role will also liaise closely with the Executive team and other stakeholders through the organization.
The Role
  • Draft, negotiate and review contracts and related documents, including broker and agency agreements, marketing agreements, vendor agreements, leases, non-disclosure agreements, software license agreements, and other contracts.
  • Research and become knowledgeable regarding a broad range of laws and regulations applicable to Tranzact’s business, including federal and state laws and regulations relating to the marketing and sale of life and health insurance products (including Medicare products), telemarketing, advertising, consumer protection and data privacy.
  • Provide general legal advice to Management on a wide variety of legal matters related to the Company’s operations.
  • Support the general legal needs of Tranzact and the Willis Towers Watson Office of the General Counsel.

The Requirements
  • J.D. from an accredited institution; admitted and in good standing to practice law in at least one state
  • 5-7 years or more of law firm and/or in-house counsel experience with general corporate background and strong contract negotiation skills
  • Significant experience in drafting and negotiating commercial contracts, including vendor agreements, IT/software license agreements, marketing agreements and service agreements
  • Strong understanding of data security and privacy laws and experience negotiating data security and privacy provisions in contracts
  • Experience with Medicare, health insurance or similar regulated industries preferred
  • Ability to independently drive complex projects with multiple stakeholders
  • Excellent judgment and integrity with the ability to think strategically and give practical advice appropriately weighing legal and business objectives
