I remember thinking when this entire M&A scenario was going down “this seems like a terrible idea, but surely they must have done their due diligence and perhaps they know something we don’t?” As it turns out, the M&A team at Bayer were complete imbeciles. They literally paid money out of their own pocket to purchase about 46,000 lawsuits. That is incredible. I wonder how much D&O coverage they have… Honestly, this beggar’s belief.

I remembered when Bayer announced its intention to buy Monsanto, many of its employees asked why Bayer did not buy a pharmaceutical company but a agriculture company that basically was not a good choice to grow the business. Bayer told its employees that the Monsanto purchase was a great and cheaper deal, would save Bayer a lot of money than buying a pharm. Bayer absolutely misled its investors about it. Every Bayer’s share holders must lost a quite big chunk of money for that suddenly. It was a surprise to me that there were not so many lawsuits filed so far for these investors.
