Markel Expects to See Runoff Certainty With Enstar’s $1.2B Adverse Development Cover

By | October 30, 2026

Markel Group has entered into a reinsurance runoff agreement with Enstar Group, the legacy acquisition specialist that is providing $1.2 billion of adverse development cover for underwriting years 2025 and prior.

“[W]e are taking decisive action on legacy exposures,” said Simon Wilson, chief executive officer of Markel Insurance, during an analysts’ call to discuss the group’s third quarter results.

Wilson explained that the ADC provides “greater certainty around the runoff” of its Global Reinsurance division and other exited lines such as professional liability and architects and engineers.

“This is about creating greater certainty around the run-off and allowing us to focus even more squarely on the ongoing specialty insurance business,” he told the analysts.

“The ADC reinsurance agreement includes subject reserves of $4.8 billion, of which Markel will retain the first $2.6 billion and retrocede the next $2.3 billion to Enstar,” according to Markel Group in a statement.

“Markel will obtain adverse loss development coverage of $1.2 billion above the $4.8 billion of subject reserves under the transaction terms and pay Enstar a risk premium of $120 million,” Markel continued.

The ADC was completed between Markel Insurance, the insurance operations within Markel Group, and Enstar Group’s wholly owned subsidiary, Cavello Bay Reinsurance Ltd.

Markel will retain administrative and claims handling responsibilities for the portfolio. Completion of the transaction is expected by the end of the fourth quarter of 2026, subject to the receipt of regulatory approval and satisfaction of other customary closing conditions.

As part of its strategy to focus on core specialty insurance markets, Markel Insurance sold the renewal rights for its $1.2 billion reinsurance business to Nationwide in August 2025. Markel’s reinsurance division was then placed into orderly runoff.

“The agreement will give Markel greater certainty over its legacy liabilities as it focuses on growing its core specialty insurance business. We look forward to continuing our work with Simon Wilson and his team once the transaction closes,” commented Dominic Silvester, Enstar’s chief executive officer, in a statement announcing the deal.

During the analysts’ call, Brian Costanzo, chief financial officer of Markel Insurance, explained that the ADC transaction does not include the $205 million reserving charge for its fronting carrier subsidiary State National, which had issued paper for a now-bankrupt reinsurer. (Editor’s note: the reinsurer capacity provider is Fleming International Re, currently in managed, orderly runoff).

“This marks the first substantial credit loss in State National’s over 40-year history,” said Thomas Gayner, chief executive officer of Markel Group, during the company’s Q2 analysts’ call.

Regarding the advisers for the ADC transaction, Enstar said Insurance Advisory Partners LLC acted its financial adviser to Enstar, while Aon acted as reinsurance broker and adviser to Markel.
